SOFTWARE LICENCE AGREEMENT (EULA)

1. INTERPRETATION
1.1 In this Agreement:
"Software" means the Corrosion Expert application, including any updates, modifications, and associated documentation supplied by Krona Software.
"Licence" means the rights granted under clause 2.
"Licensee" means the person or entity installing or using the Software.
"Output Data" means any data, models, reports, or results generated by the Software.
"Authorised System" means any hardware or environment permitted under the applicable Licence.
2. GRANT OF LICENCE
2.1 Subject to the terms of this Agreement, Krona Software grants the Licensee a non-exclusive, non-transferable, revocable licence to install and use the Software on Authorised Systems for the Licensee's internal business purposes.
2.2 The scope, duration, and permitted use of the Software shall be as specified at the time of purchase.
3. RESTRICTIONS
3.1 The Licensee shall not:
(a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
(b) modify, adapt, translate, or create derivative works of the Software;
(c) circumvent, disable, or otherwise interfere with any security, activation, or licensing mechanisms;
(d) copy, distribute, sublicense, lease, rent, or otherwise make the Software available to third parties;
(e) use the Software in excess of the permitted Licence scope.
4. LICENSING AND ACTIVATION
4.1 The Software may require activation, authentication, or periodic validation.
4.2 The Licensee shall not:
(a) share licence credentials with unauthorised users;
(b) alter or manipulate licence files or activation mechanisms;
(c) attempt to bypass or defeat licence enforcement controls.
4.3 Krona Software reserves the right to suspend or terminate access to the Software where it reasonably suspects a breach of this clause.
5. USE IN NON-DESTRUCTIVE TESTING AND LIMITATION OF RELIANCE
5.1 The Software is provided solely as a tool to assist inspection, analysis, modelling, and data visualisation.
5.2 The Licensee acknowledges and agrees that:
(a) the Software does not perform inspections and does not replace the judgement, skill, or responsibility of qualified personnel;
(b) the accuracy, completeness, and reliability of any Output Data are dependent upon input data quality, system configuration, environmental conditions, and operator decisions;
(c) the Software does not guarantee the detection, sizing, characterisation, or absence of defects or anomalies;
(d) Output Data may be affected by limitations inherent in data acquisition, processing, modelling, transformation, interpolation, resolution, coordinate mapping, and system constraints.
5.3 The Software is not certified or intended for use as a safety-critical system and shall not be relied upon as such.
5.4 The Licensee shall ensure that the Software is used only by appropriately qualified, trained, and competent personnel, including personnel certified where required under applicable non-destructive testing standards.
5.5 The Licensee shall not rely on the Software or any Output Data as the sole basis for any inspection, engineering, operational, or safety-critical decision.
5.6 The Licensee shall be solely responsible for:
(a) interpretation and validation of Output Data;
(b) all inspection acceptance or rejection decisions;
(c) compliance with all applicable standards, codes, and regulatory requirements, including but not limited to ISO, ASME, and DNV standards;
(d) ensuring that appropriate independent verification, cross-checking, and engineering judgement are applied in all cases.
6. DATA PROCESSING AND OUTPUT DISCLAIMER
6.1 The Software may process, transform, combine, analyse, model, visualise, or otherwise manipulate inspection data and related datasets.
6.2 The Licensee acknowledges that all data processing carries inherent risk, including but not limited to errors, omissions, distortions, artefacts, misalignment, scaling discrepancies, or unintended effects arising from:
(a) algorithms and computational methods;
(b) data stitching, merging, or reconstruction;
(c) interpolation, extrapolation, or filtering;
(d) coordinate systems, positioning, or resolution limitations;
(e) user-defined parameters, inputs, or workflows;
(f) hardware, software, or system limitations.
6.3 Krone Software does not warrant or represent that:
(a) any Output Data will be complete, accurate, reliable, or free from error;
(b) the Software will produce consistent or repeatable results in all circumstances;
(c) any specific analytical, modelling, or visualisation outcome will be achieved.
6.4 No Output Data shall be treated as a definitive or authoritative representation of material condition without independent validation by the Licensee.
6.5 The Licensee assumes full responsibility for any use of Output Data, including any decisions, actions, or omissions based upon it.
7. WARRANTIES
7.1 The Software is provided "as is", and to the fullest extent permitted by law, Krona Software excludes all warranties, conditions, and representations, whether express or implied.
7.2 Nothing in this Agreement shall exclude or limit liability for:
(a) death or personal injury resulting from negligence;
(b) fraud or fraudulent misrepresentation;
(c) any other liability which cannot be excluded or limited by law.
8. LIMITATION OF LIABILITY
8.1 Subject to clause 7.2, Krona Software shall not be liable for:
(a) any indirect or consequential loss;
(b) loss of profit, revenue, business, or contracts;
(c) loss of or corruption to data;
(d) any loss arising from reliance on the Software or Output Data;
(e) any failure to detect defects or inaccuracies in inspection results;
(f) any structural failure, equipment damage, operational incident, or loss arising from the use of the Software or reliance on Output Data.
8.2 The Licensee acknowledges that the Software is an assistive tool only, and that all risk associated with inspection outcomes remains with the Licensee.
8.3 The total liability of Krona Software arising under or in connection with this Agreement shall not exceed the total amount paid by the Licensee for the Software in the 12 months preceding the claim.
9. INTELLECTUAL PROPERTY
9.1 All intellectual property rights in the Software remain vested in Krona Software.
9.2 The Licensee acquires no ownership rights in the Software.
9.3 The Licensee retains ownership of its own data but shall not acquire any rights in the Software itself.
10. UPDATES AND SUPPORT
10.1 Updates, enhancements, and support services may be provided at the discretion of Krona Software or as agreed separately.
11. TERMINATION
11.1 This Licence shall terminate immediately if the Licensee breaches any provision of this Agreement.
11.2 Upon termination, the Licensee shall:
(a) cease all use of the Software;
(b) delete or destroy all copies in its possession.
12. AUDIT
12.1 Krona Software may request reasonable evidence of compliance with this Agreement.
12.2 Failure to provide such evidence may result in suspension or termination of the Licence.
13. EXPORT CONTROL
13.1 The Licensee shall comply with all applicable export control and sanctions laws in connection with the Software.
14. GOVERNING LAW AND JURISDICTION
14.1 This Agreement and any dispute or claim arising out of or in connection with it shall be governed by the laws of Thailand.
14.2 The courts of Thailand shall have exclusive jurisdiction.
15. ENTIRE AGREEMENT
15.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or arrangements.
